By accessing and/or using the Saint Layers Website www.saintlayers.co.id (the “Website”), you agree that you have read, understood carefully and agreed to be bound by these Terms of Use (the “Terms of Use”). These Terms of Use constitute a legal agreement between you and PT Vita Nova Atletik in relation to your visit, access and use of Services and the Website (as defined below).

IF YOU DO NOT AGREE, EITHER IN PART OR IN WHOLE, WITH THESE TERMS OF USE, YOU CANNOT ACCESS AND USE SERVICES AND THE WEBSITE.

GENERAL PROVISIONS

PT Vita Nova Atletik is a company established under the laws of the Republic of Indonesia (“Saint Layers”).

This Website is a software Website that serves as a means of purchasing products provided in the Website. This Website offers information about services offered by Saint Layers. The types of services that Saint Layers provides through the Website are:

Purchase of products registered in the Website.

Delivery of products purchased via the Website.

Other services that Saint Layers may add from time to time.

(hereinafter referred to as the “Services”).

Saint Layers may in its sole and absolute discretion accept or reject any of your requests for the Services. Saint Layers may also in its sole discretion confirm, accept and agree to any directions provided by the Website.

Saint Layers will use all reasonable efforts to provide you with the Services, depending on the availability of the product(s) or the location where the product is received at the time you place your order for the Services.

TERMS OF USE OF THE WEBSITE

You represent and warrant that you have the right, authority and capacity to use your Website and also represent and warrant that you are authorized to enter into and be bound by these Terms of Use and take any actions required in the Website.

Saint Layers has the right to collect and process your personal information, such as your full name, e-mail, date of birth, gender, cellphone number and your city when you register and refuse the registration if you do not provide the requested personal information in full and do not give consent to these Terms of Use, terms and conditions, and privacy policy as contained in the Website. You warrant that you provide accurate and complete information and agree to provide Saint Layers with any proof of identity that Saint Layers can reasonably request. If any of the personal information you have provided to Saint Layers changes, for example, if you change your email address, telephone number, or if you wish to cancel your account, please update your details by sending your request to Saint Layers. Saint Layers will effect the requested change after you have followed the instructions required to change your personal data.

E-mail and or cellular number that have been registered in the Website cannot be used to create a new account. You must follow the instructions directed in the Website in order to successfully register yourself. The Website will provide you with a personal account with a password that you set yourself so that you can use the Website.

You must maintain the security and confidentiality of data related to your account on the Website. In the event of any disclosure of data related to your account which results in any illegal or unauthorized use of your account or identity, you must notify Saint Layers of this so that Saint Layers can cancel your account or take any other actions that can be taken and are necessary to take, otherwise, any actions using the Website will be considered as legal actions and you are responsible for the legal consequences that arise as long as these actions have not been reported to Saint Layers.

You are required to notify Saint Layers in detail if you no longer have control over your account on the Website, for example your account is in any manner hacked or your cellphone is lost, so that Saint Layers can cancel your account properly or take any other actions that can be taken and are necessary to take, otherwise, any actions using the Website will be considered as legal actions and you are responsible for the legal consequences that arise as long as these actions have not been reported to Saint Layers.

You undertake that you will use the Website for the intended purpose only to obtain the Services. You are not allowed to abuse or use the Website for fraudulent purposes or to cause inconvenience to others or to make fake orders.

Saint Layers has the authority to prohibit you from using the Website further if you use the Website with an incompatible or unauthorized device or for purposes other than the intended purpose of using this Website.

You understand, accept and agree that your use of the Saint Layers Website will also be subject to the Saint Layers Privacy Policy as may be amended from time to time. By using the Website, you also consent to and agree to be bound by the Saint Layers Privacy Policy.

By providing personal information/data to Saint Layers, you declare that you have the right to provide Saint Layers with personal information/data that Saint Layers will use and you allow Saint Layers to provide your personal information/data to interested third parties for the purpose of using your Services in the Website.

The Website may not be used to search for Services for matters that are contrary to the laws and norms privailing in society. You agree to defend, indemnify and hold Saint Layers harmless of and Saint Layers is not responsible for any Services you use which may violate any applicable laws and regulations.

You must provide Saint Layers with accurate and complete information regarding the type, specification, quantity and/or any special characteristics of any product ordered and purchased.

Saint Layers has the right to refuse your order if, in Saint Layers’s judgment, Saint Layers may not be able to deliver the product. However, if you have deposited some money for using the Services, you have the right to request a refund of the amount deposited if Saint Layers is unable to deliver the product.

Saint Layers has the right to reject to accept your order if Saint Layers has reasonable grounds to suspect that you have violated, or by accepting an order from you, you will violate these Terms of Use or any applicable laws and regulations.

If under Saint Layers’s policy, Saint Layers provides prizes, vouchers, or various other forms of promotions (the “Promo”) which can be redeemed for benefits related to the use of the Website, you agree that you are only entitled to use the Promo subject to all the terms that apply in the Promo and will not abuse, duplicate, sell or transfer the Promo in any way. You also understand that the Promo cannot be redeemed for cash and can expire on a certain date and time, even if you have not used it.

You acknowledge and understand that product prices displayed on the Services are subject to change from time to time.

CHARGING OF COSTS

Downloading and/or accessing this Website is/are free of charge. Saint Layers may introduce charges for downloading and/or accessing the Website at any time. Saint Layers will notify you of this as appropriate so that you can decide whether or not you wish to continue downloading or accessing the Website. However, the internet connection required to use the Services and any related costs incurred by the use of the Services are on your own account and are borne solely by you.

You agree that you will pay for the Services provided to you by Saint Layers in full before the product is delivered to you, unless Saint Layers agrees to give you a facility to be able to make a payment after you receive the product.

The payment system can be made by transfer, e-money, and credit cards and it must be made in Indonesian Rupiah with payment instructions that Saint Layers will notify from time to time. Saint Layers also has the right to make changes or additions to the payment system in the Services from time to time if deemed necessary.

The fee for the Services includes applicable taxes.

Saint Layers’S RESPONSIBILITIES

Saint Layers uses appropriate and reasonable information management and security to keep the Website safe and free from interferences from any irresponsible parties. However, no matter how optimal the information management and security is, Saint Layers cannot guarantee that there will be no future interferences in the Services and the Website.

Use of the internet and incompatible electronic communications can cause non-functioning of the Website. Saint Layers is not responsible for any postponements, delays, failures, damages or losses resulting from these problems.

LIMITATION OF LIABILITY

Any claim against Saint Layers in any case by you will be limited to a total amount stated in writing to be paid by and/or owed to you when using the Services. In no event shall Saint Layers be liable to you or anyone else for costs, interests, damages or losses of any kind or other form of unwritten value (including personal injury, emotional disturbance and loss of data, goods, income, profits, use or other economic advantage). Saint Layers will not be liable for any losses, damages or injuries that may be incurred by or caused by you or by anyone who has used the Services on your behalf.

INDEMNIFICATION

By using this Website, you agree that you shall indemnify and hold Saint Layers, its affiliates and any of Saint Layers’s officers, directors, commissioners, employees, attorneys and agents harmless from and against any and all claims, costs, damages, losses, liabilities and costs (including attorneys’ fees and costs) arising out of or in connection with:

a) Any violation of or non-compliance with any of the Terms of Use, Privacy Policy, or applicable laws and regulations, whether or not stated herein; or

b) Your violation of any rights of any third parties regarding the use of the Website that is not caused by Saint Layers;

c) Any use or misuse of the Website. This obligation to release and indemnify shall survive the expiration or termination of the Terms of Use and use of your Website by Saint Layers for any reason.

e) Create and publish media or scripts, including, but not limited to, web spiders, web crawlers, web robots, web ants, web indexers, bots, viruses or worms, or any program that might create an obstacle to the operation of the Website and/or the Website’s performance;

f) Use robots, spiders, or other manual or automatic devices to retrieve data from within the Website, or otherwise duplicate any contents of the Website;

g) Publish, distribute or reproduce in any way any material that is protected by copyrights, trademarks or other proprietary information without prior approval by the owner of the property rights;

j) will not send or store any infringing, immoral, threatening, defamatory, or unlawful or unusual materials, including but not limited to materials that are harmful to others or that violate the privacy rights of any third parties;

k) will not attempt to gain access without Saint Layers’s consent to the Website or related systems or networks; and

l) will refrain from engaging in any actions that may damage Saint Layers’s reputation or be deemed to damage Saint Layers’s reputation.

Saint Layers shall have the right to investigate and prosecute any of the above violations to the fullest extent permitted by law including involving law enforcement officials in doing so. Saint Layers has the right to monitor your access to the Website, to ensure compliance with these Terms of Use, or to comply with applicable regulations.

INTELLECTUAL PROPERTY RIGHTS

Any contents in the Website and the Services are protected by copyrights, trademarks and other rights provided under the laws of the Republic of Indonesia.

Without prejudice to Saint Layers’s rights under applicable laws or the Terms of Use, you are notified that any attempted or actual violation of these provisions will result in the termination of all your rights in the Website and other law enforcement that can be enforced.

TERMINATION

Saint Layers has the right with immediate effect to temporarily suspend or permanently stop the use of the Website if Saint Layers has reason to suspect that you have violated any provisions of these Terms of Use or any applicable laws and regulations and any orders by any competent authority.

You have the right to opt to stop either temporarily or permanently the use of the Website at any time by canceling your account and permanently removing the Website from your device, thus disabling the use of the Website.

REPRESENTATIONS AND WARRANTIES

Saint Layers does not represent or warrant that:

a) The use of the Services and/or the Website will be safe, timely, without interruption or free from errors or run in combination with other hardware, software, systems or data or free from any acts of God or force majeure events beyond Saint Layers’s control such as floods, earthquakes, fires and hurricanes, war-like circumstances, riots, and/or government policies in the financial or monetary and economic sectors that directly affect the implementation of the Website and the Services;

b) The Website and the Services will meet your needs or expectations;

c) Any stored data will be accurate or reliable;

d) The quality of products, services, information or other materials purchased or obtained by you through the Website will meet your needs or expectations;

e) Any errors or defects in the Website will be corrected; or

f) The Website or server(s) providing the Website are free of viruses or other harmful components; or

g) The Website tracks you or the vehicle used by Saint Layers in delivering orders. The Services are provided to you on an “as is” basis only. All conditions, representations and warranties, whether express, implied, required by law or otherwise, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement of third-party rights, are hereby excluded and waived with the highest and maximum limits. You acknowledge and agree that all risks arising from your use of the Services shall remain solely and wholly with you and you will not have the right to claim any compensation from the company.

MISCELLANEOUS

You may not transfer your rights and obligations under the Terms of Use and other provisions set out in the Website, without the prior written approval of Saint Layers. Saint Layers may transfer Saint Layers’s rights under the Terms of Use to another party according to Saint Layers’s policy.

If there is a term under the Terms of Use that is held illegal, invalid or unenforceable, either in whole or in part, under laws and regulations, the term or any part of the term shall, to that extent, be deemed not part of these Terms of Use, but the legality, validity or enforceability of the remaining terms of these Terms of Use shall remain valid.

These Terms of Use shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any and all disputes arising from the use of Saint Layers services shall be governed by the exclusive jurisdiction of the South Jakarta District Court.

These Terms of Use may be amended, by being added and reduced, revised, corrected from time to time. Saint Layers will notify you via the Website and/or email of any changes to the Terms of Use. Continuous deactivation of the Website after receipt of this notification constitutes your approval and acceptance as well as your commitment to the changes.
